Overview
Enforcing compliance requirements and reviewing/drafting contracts in relation to shared service functions in Greater China with the objectives of supporting all Business Functions, as well as protecting the Company's interests by identifying and mitigating legal risks within the relevant laws and regulations under the supervision of Associate General Counsel, Corporate.
Key Responsibilities
1. Corporate Secretary:
• Provide legal support on corporate secretary matters, including review of PoAs, board resolutions, annual compliance documents, etc.;
• Conduct legal research on corporate compliance matters.
2. Contract Review and Compliance:
• Draft, review and propose modifications to contracts in relation to shared service functions in Greater China and participate in contract negotiations where required;
• Conduct background screening for vendors that have interactions with government/state-owned companies;
• Provide Legal support and advice to internal clients on a daily basis.
3. Others:
• Other responsibilities deemed necessary by the supervisor, including Corporate Secretary matters and M&A projects.
Requirements and Qualifications
• Graduated from an accredited law school;
• Passed the Bar Exam in China (qualifications in the US or any APAC countries will be a plus);
• At least five years relevant PQE gained in a leading law firm or an international corporation;
• Fluency in reading, writing and speaking Chinese and English.
Key Competencies
• Mature and independent;
• Self-disciplined and organized;
• Sound knowledge of Corporate Secretary matters in China, and experience in other APAC jurisdictions is preferred;
• Good interpersonal and communication skills;
• Solution driven;
• Education and/or experience in banking or cybersecurity is a plus.
