COUNSEL I - COMMERCIAL

Job Overview

Provide general commercial legal advice and support, protect the Company's interests by identifying and mitigating legal risks within the relevant laws and regulations under the supervision of line manager (Associate General Counsel) and other relatively senior legal counsels in the team.

Key Responsibilities I

  • Legal Advice: Responsible for commercial contracts used in the region. Draft, review and propose modifications to commercial agreements (such as sales and purchase contract, vendor managed inventory agreement, etc.) and other contracts; and supervise, coordinate, monitor, give advice and assist in ad-hoc projects (such as FDI, M&A and other business projects). Collaborate with other members of the global and regional Law Department on commercial contracts and projects that require a team effort.
  • Compliance: Get familiar with company’s culture, legal and compliance policies and relevant applicable laws. Assist in the preparation and, performance of compliance trainings to employees in order to educate them regarding compliance requirements. Communicate, investigate and take necessary actions to ensure that the Company’s current or proposed activities, business practices, and transactions comply with all relevant laws and regulations. Conduct effective background screening for trade intermediaries. Conduct internal investigations.

Key Responsibilities II

  • Legal Policies and Protocols: Research and assist in drafting Law Department's policies, procedures, and protocols in order to put in place an efficient legal service for the segment in the region and better support the Company's legal needs.
  • Dispute Resolution: Assist in litigations and dispute settlements, working with outside counsel and in-house attorneys where appropriate. Gather and review facts and information; provide preliminary opinion on exposure and downside risk assessment; recommend a path to resolve the disputes; and oversee necessary execution in order to ensure that disputes are resolved in a manner that best represents the Company's interests.
  • Internal projects: support and participate in Legal TEOA projects and other internal initiatives

Requirements and Qualifications

  • Can draft standard commercial documents with minimal review
  • Can deliver clear legal advice effectively
  • Graduate from an accredited law program or a law degree in China. Overseas legal education background will be a plus.
  • Pass the Bar Exam in China or other jurisdictions (preferably in the United States)
  • At least three years relevant PQE gained in a reputable Chinese / international law firm and/or in-house law department of a multinational corporation. Leading Chinese / international law firm experience will be a plus
  • Fluency in reading, writing and speaking Chinese and English required. Additional language skills are an asset.
