Job Overview

The Paralegal/Legal Specialist I position will report directly to the Assistant General Counsel – Corporate in the TE Law Department’s Corporate Secretary group and will work to support the Company’s Corporate Secretarial requirements for its legal entities in the Americas region under the guidance of Counsel.


Assist TE’s Attorney responsible for corporate matters in the Americas region with all activities relating to corporate compliance and transactional work:

  • Take ownership of the corporate administration of a portfolio of companies in the Americas region consisting of approximately 70 legal entities;
  • Draft board and shareholder minutes, powers of attorney with banking/human resources/ intellectual property/commercial scopes (based on templates);
  • Review and finalize corporate legal documents drafted by corporate service providers: change of directors/ officers/ legal representatives/ secretary/ auditors/ shareholder or ultimate beneficial owner and amendment of articles where necessary;
  • Prepare signature request forms attaching finalized corporate documentation for approval by TE’s Attorney and collecting signatures via e-mail;
  • Coordinate, prepare and hold subsidiary legal entity board meetings and shareholder meetings via unanimous written consent;
  • Obtain signatures of subsidiary legal entity directors and coordinating with directors’ assistants;
  • Coordinate ad hoc requests such as notarizations, legalizations and Apostille;
  • Handle KYC requests from corporate service providers or auditors;
  • Draft organization charts requested by corporate service provider/ Banks/ auditors/ tax advisors and obtaining approvals and signatures;
  • Maintain share registers and stock certificates;
  • Perform recordkeeping, record retention, electronic file keeping in the company database;
  • Maintain the internal corporate and legal database to the highest standard;
  • Special projects and other duties as requested.

Required Competencies

  • Bachelor’s Degree, Paralegal Certificate or requisite experience
  • 3+ years of work experience in corporate law setting of a small to large company or law firm
  • Strong analytical skills with ability to multi-task several large projects at once and ability to collaborate with all levels of a corporation
  • Comfortable working in a fast-paced environment, with the ability to prioritize tasks based on the urgency
  • Team player with exceptional interpersonal skills
  • Motivated self-starter
  • Experience & skill using various systems for performing the above duties:  MS Word, Excel & PowerPoint
